Referral Program - Terms of Service Agreement
By validating your tribe(s) into the Snapzu referral program (“Program”) you are choosing to be an Affiliate and you are agreeing to be bound by the following terms and conditions ("Terms of Service")

Program Introduction:
Snapzu reserves the right to update and change the Terms of Service from time to time without notice. Any additional new or modified features that augment or enhance the current Program, including the release of new tools and resources, shall be subject to the Terms of Service.
Your continued use of the Program after any such changes shall constitute your continued consent to such changes. You can review the most current version of the Terms of Service at any time here.
Violation of any of the terms below will result in the immediate termination of your Account in addition the forfeiture of any outstanding affiliate commission payments earned during and leading up to the violation.
You agree to use Snapzu's Referral Program at your own risk.
Referral Program Terms:
- You must be 18 years or older to be part of this Program.
- All validated tribe(s) must meet all basic Program tribe validation prerequisites at all times.
- Your validated tribe(s) must be in English, no other languages are supported at this time.
- You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
- Your account may only be used by one person – a single login shared by multiple people is not permitted.
- You are responsible for maintaining the security of your account and login information. Snapzu cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
- You are responsible for all promotional content posted and activity that occurs under your account (even when promotional content is posted by moderators who have referral status within your tribe(s)).
- One person or legal entity may not maintain more than one account, having more than one tribe enrolled within an account is acceptable practice however.
- You may not use the Referral Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
- You may not engage in any sort of unauthorized promotional methods like spamming, emailing, cold calls, automated calls, botnets, blind linking, image sourcing or any other method that may be viewed as illegal or unethical.
- You may not promote your tribe(s) from sources that engage in illegal activity.
- Snapzu's products and services must be accurately represented during any and all promotional efforts of your tribe(s).
Tribe Referral Links and Invite Codes
Upon the successful validation of a tribe, you will be given access to promotional material which will contain a tribe specific unique referral linking code as well as dynamically generated invite codes. You are permitted to place these links on your website, your email communications and or share them on social networks and other communities you are an active and contributing part in to promote your tribe(s). We will provide you with guidelines, graphical art work as well as other resources to help you generate referrals. We may change the designs and promotional artwork at anytime, but we wont change linking code structure, art work dimensions or anything that may have a direct effect on your campaign without proper notice.
Tribe Specific Linking Code
To allow for accurate tracking, reporting, and referral credit generation we will provide you with unique referral links formatted to match your specific tribe (one for each actively enrolled tribe). You may use these links to promote your tribe(s) on your web properties as well as share them within other communities, social networks and forums as long as you are using this link with the intent of assisting in a community wide move. You must ensure that each tribe specific link properly utilizes the link format displayed within your tribe's referral program promotional area. Tribe specific links cannot be blindly posted without appropriate context, they cannot be used to allow unlimited access to bypass the Snapzu invitation system in any other situation other than assisting in the migration of a community.
Links to your tribe(s) placed on your site or other area are pursuant to this Agreement and which properly utilize such specific link formats are referred to as "Tribe Links."
Tribe Specific Invite Codes
In addition to Tribe Links each tribe will make available a dynamically updated list of 20 tribe specific invite codes to be used as a promotional tool for participants that wish to join Snapzu's invite only service without having to follow a Tribe Link. In similar fashion to Tribe Links, invite codes are embedded with tracking information and set cookies to allow for the continued tracking and credit generation for the potential referral.
You must ensure that when transmitting invite codes by copy and pasting them into your communications that they appear exactly as displayed within your tribe's referral program promotional area. Failure to copy and paste the referral codes exactly as they appear will result in the failure to continue with a successful referral.
Credits are earned only with respect to referral purchases on the Snapzu platform occurring directly through Tribe Links or Invite Codes; we will not be liable to you with respect to any failure by you or someone you refer to use Tribe Links, or Invite Codes properly, such failure may result in missed referral opportunities that would otherwise be tracked and paid to you pursuant to this Agreement.
Affiliate links must point to the Tribe specific home page of the Snapzu community being promoted. Deep links, or links to other pages inside the product site will not earn credit(s). Invite codes must be clearly represented with a direct link to the tribe being promoted.
Referral Tracking, Commissions and Payment Schedule
Referral Tracking
Snapzu will only credit referrals on links that are automatically tracked and reported by our systems. We will not credit a referral if someone says they signed up or someone says they entered an invite code but it was not tracked by our system. We can only pay commissions based on registered referrals that were generated through properly formatted tribe links allowing for automatic tracking by our systems.
For a referral to be credited, the customer must click-through a tribe link from your site, email, or other communications to the promoted tribe and sign up for a Snapzu account during that session. Tribe specific invite codes allow more flexibility, as the customer needs only to enter the tribe specific invite code at anytime during the signup process to be counted as a referral.
When tracking tribe links, the session ends once someone closes their web browser, navigates away from the service, or otherwise leaves the website without signing up. If they leave the site, come back later on their own, and create an account you will not be credited with that referral.
Commissions
Referrals will convert into commissions whenever a referral purchases premium credits at any time during the lifetime of the referral account. Earnings are credited to your account in the form of “Credits” at $5 dollars per credit. Earnings are divided into an equal 50/50 split between the Affiliate Program holder and Snapzu before earnings on commissions are paid out. All incoming referral payments must clear a 14 day probationary period before being counted as a commission within Affiliate account.
We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Promotional methods involving illegal websites or otherwise questionable services are not permitted.
Payments
A payout option will become available once a balance of affiliate income reaches $150. If your affiliate balance never crosses the $150 threshold, your commissions will not be realized or paid. We are only responsible for paying accounts that have reached the $150 balance threshold.
All commissions earned from referrals are to be paid by PayPal and only by PayPal. Snapzu will not send payment to credit cards, checks or by cash. To request a payment you need to have an active and verified PayPal account that matches your affiliate details. If you don't have a PayPal account you can sign up for one at any time. Until you are able to provide your payment details, your balance will continue to accumulate until a PayPal account is linked.
As long as your current affiliate earnings balance is $150 or more, you will be able to trigger a payout request. You must allow up to 30 days for all payout requests to be processed. If you haven't earned $150 since your last earnings payout, you will need to wait until the minimum balance is reached and we will process your payout request within 30 days.
Identifying yourself as a Snapzu Referral Program Affiliate
You may not issue any press release with respect to this Agreement or your participation in the Program; such actions may result in the termination of this agreement and your removal from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between Snapzu and yourself. You may not claim that you develop our products, say you are part of Snapzu, or express or imply any relationship or affiliation between Snapzu and yourself or any other person or entity except as expressly permitted by this agreement.
Customer Definition
Customers who purchase Credits through this Program will be deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and the sale of credits will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for credits sold under this Program in accordance with our own pricing policies. Prices and the availability of bundles may vary from time to time.
Because price changes may affect membership pricing that you have listed on your site, you should not display these prices on your site. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular item.
Responsibilities of the Affiliate
You will be solely responsible for the development, operation, and maintenance of your web properties as well as all materials and resources you choose to employ in the promotion of this program. Such responsibilities include but are not limited to:
- The technical operation of your web properties and all related equipment
- Ensuring the display of Tribe Links on your web properties and other communities does not violate any agreement between you and any third party (including without limitation any restrictions or requirements placed on you by a third party that hosts your web properties)
- The accuracy, truth, and appropriateness of materials posted on your web properties (including, among other things, all Snapzu-related materials and any information you include within or associate with Tribe Links or Invite Codes)
- Ensuring that materials posted on your web properties do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
- Ensuring that materials posted on your web properties are not libellous or otherwise illegal
- Ensuring that your web properties accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers.

Compliance with Laws
As a condition to your participation in the Program, you agree that while you are a Program participant you will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a Program participant. Without limiting the foregoing obligation, you agree that as a condition of your participation in the Program you will comply with all applicable laws (federal, state or otherwise) that govern marketing email, including without limitation, the CAN-SPAM Act of 2003 and all other anti-spam laws.
Term of the Agreement and Program
The term of this Agreement will begin upon the validation of your first tribe and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to any Products our website offers, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program. Snapzu reserves the right to end the Program at any time. Upon program termination, Snapzu will pay any outstanding earnings accrued above $150.
Termination
Snapzu, in it's sole discretion, has the right to suspend or terminate your referral account status and refuse any and all current or future use of the Program, or any other Snapzu service, for any reason at any time. Such termination of the Affiliate Account will result in the deactivation or deletion of your Referral Program status or your access to your Account, and the forfeiture and relinquishment of all potential or to-be-paid commissions in your Referral Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Snapzu reserves the right to refuse service to anyone for any reason at any time.
Limitations of Liability
We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.
Relationship of Parties
You and Snapzu are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your web properties or otherwise, that reasonably would contradict anything in this Section.
Disclaimers
We make no express or implied warranties or representations with respect to the Program or any products sold through the Program (including, without limitation, warranties of fitness, merchantability, noninfringement, or any implied warranties arising out of a course of performance, dealing, or trade usage). In addition, we make no representation that the operation of the Product Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB PROPERTIES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB PROPERTIES. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
Arbitration
Any dispute relating in any way to this Agreement (including any actual or alleged breach hereof), any transactions or activities under this Agreement or your relationship with Snapzu or any of Snapzu's affiliates shall be submitted to confidential arbitration in British Columbia, Canada, except that, to the extent you have in any manner violated or threatened to violate our intellectual property rights, we may seek injunctive or other appropriate relief in any state or province or provincial or federal court (and you consent to non-exclusive jurisdiction and venue in such courts) or any other court of competent jurisdiction. Arbitration under this agreement shall be conducted under the rules then prevailing of the Canadian Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.
Miscellaneous
This Agreement will be governed by Canadian law in the province of British Columbia, without reference to rules governing choice of laws. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
The failure of Snapzu to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and Snapzu and govern your use of the Service, superceding any prior agreements between you and Snapzu (including, but not limited to, any prior versions of the Terms of Service).
